Terms of Service
Effective September 6, 2026 · Version 2026-09-06
These Terms of Service (the “Terms”) are the agreement between you and Groundwork(“we”, “us”, “our”) for your use of Groundwork(the “Service”). Please read them; they say what we do with your work, what we charge for it, and what happens when either of us wants to stop.
1. Who these Terms are between, and how they are accepted
You accept these Terms by creating an account, by clicking to accept them, or by using the Service. If you accept on behalf of a company, firm or other organization, you confirm that you have authority to bind it, and “you” means both you and that organization.
Four kinds of account use the Service, and each accepts these Terms for its own use:
- Lender staff.The people who work at a lending firm. The firm they work for is the “Customer” and is responsible for the people it invites and for what they do in its workspace.
- Accountant seats.The firm’s outside accountant, who gets a seat of their own at no charge and works inside the firm’s workspace on the firm’s instructions.
- Investors. One account per investor, which may be linked to more than one lender. An investor sees only the workspaces that have invited them, and only what each of those lenders chooses to share.
- Borrowers and other portal users.An account scoped to a single lender’s portal — the borrower, a guarantor, a broker or anyone else that lender invites to a loan.
Anyone reading our public website without signing in has no account and accepts nothing by reading it; they are bound only by the parts of these Terms about the website itself.
Where these Terms give a right or an obligation to the “Customer”, they mean the lending firm whose workspace the data is in — not the borrower or investor who can see part of it.
2. What the Service is
Groundwork is business software for firms that lend. It provides:
- loan origination — applications, pipeline and stages, underwriting notes, conditions, tasks and approvals;
- a borrower portal for applying, uploading documents and answering requests;
- servicing records after a loan funds — payment tracking, interest and payoff calculations, statements, reminders and confirmations;
- investor management and an investor portal — participations, positions, distributions recorded by the Customer, statements and opportunities the Customer chooses to publish;
- in-app messaging between the firm and its borrowers;
- electronic signature, with each signed document and its audit certificate filed in the loan file;
- consumer credit report ordering, placed through the Customer’s own account with its credit vendor;
- data import, automation rules, exports and reporting across all of the above.
The Service records and computes; it never moves money. No payment, disbursement, draw or distribution described in the Service is made by us. The firm moves money through its own bank, and then records it here. Every figure the Service produces — an interest accrual, a payoff quote, an investor’s share — is a tool offered for the Customer’s own review, and the Customer remains responsible for its lending decisions, its disclosures, its licensing and its compliance. Nothing in the Service is legal, tax, financial or lending-compliance advice.
Each Customer works in its own workspace and its data is isolated from every other Customer’s. We may add, improve or retire features, provided we do not materially reduce the core functionality the Customer is paying for.
3. Accounts, seats and billing
- The trial. A new firm gets 14 days free, with no card required. Nothing is charged during it and nothing charges automatically at the end of it.
- The price. $89.99 per lender seat per month after the trial, billed monthly in advance through our payment processor, Stripe. Card details are entered on Stripe and never reach our servers.
- Free seats. Borrower, investor and accountant logins are free and are never counted as billable seats.
- Changing the seat count. Adding or removing a lender seat takes effect immediately and Stripe prorates the difference on the next invoice.
- Keeping the account. Keep your registration details accurate, keep your credentials to yourself, and tell us at evan@processorteam.com if you think someone else has them.
- Price changes.We may change prices with at least 30 days’ notice by email, effective at the next renewal after that notice. Except where the law requires otherwise, fees already paid are not refundable.
4. What happens when a trial ends, a payment fails, or you cancel
This section is the promise the product actually keeps, and it is the same whether a trial ran out, a subscription lapsed or you cancelled on purpose.
- The workspace goes read-only for 90 days. Everything is still there and still readable. Export is available for the whole of that window, and we will not hold your data hostage to an invoice.
- What stops. Automations stop running and outbound messages stop going out, so a lapsed workspace never sends anything in your name that you did not intend.
- What keeps working. A document already out for signature can still be signed, and the signed copy is still filed into the loan file.
- Subscribing puts everything back. At any point in the window, subscribing restores full access immediately.
- At the end of the window. Deletion is scheduled 30 days out and we email the workspace owners with the date. Subscribing before that date cancels the deletion.
- Deletion you ask for. An owner may ask us to delete the workspace at any time from Settings. It is scheduled 30 days out and the owner can cancel it at any point before then. Subscribing does not cancel a deletion an owner asked for — only the owner can.
Deletion is permanent. See the Privacy Policy for what is deleted, what survives in backups for a short time, and how long everything else is kept.
5. Acceptable use
You agree not to, and not to let your users:
- use the Service in breach of any law that applies to your business, including lending, fair-credit and consumer-protection law;
- upload or enter data you have no right to collect, hold or process;
- order a consumer credit report without the permissible purpose and the consumer consent the Service asks you to record;
- try to reach another workspace’s data, defeat a permission, or probe the Service’s security;
- scrape the Service or load it in a way that degrades it for others;
- resell or sublicense the Service, except by inviting your own borrowers, investors and staff into your own workspace as the product is designed for;
- upload malware, or content that is unlawful, infringing or deceptive.
We may suspend access that breaches this section, with notice where that is practical and without it where the risk will not wait.
6. Customer Data
“Customer Data” is everything a Customer and its people put into its workspace: applications, borrower and guarantor information, documents, messages, servicing records, investor records and credit reports. As between us, the Customer owns it. We process it only to provide, secure and support the Service, on the Customer’s instructions.
- The Customer controls who sees what — which staff hold which roles, which files a borrower can open, and which figures an investor is shown.
- The Customer is responsible for consumer-credit compliance — permissible purpose, consent, adverse-action duties and the rest. The Service records the evidence of consent and of who ordered what; the obligation itself is the Customer’s.
- Export is always available, including through the read-only window in §4.
- Deletion follows §4 and the Privacy Policy.
We do not sell Customer Data, do not use it for advertising, and do not use it to train models.
7. Consumer credit reports
Credit reports are ordered through the Customer’s own account with its credit vendor, under the Customer’s agreement with that vendor and on the Customer’s permissible purpose. The report comes back into the Customer’s workspace and is stored there for the Customer, for the periods set out in the Privacy Policy.
For this data we are a service provider to the Customer and nothing more. We do not furnish consumer reports, do not resell them, do not assemble or evaluate consumer credit information for anyone else, and take no part in the credit decision the Customer makes.
8. Electronic signatures
Documents signed through the Service are intended to be signed electronically under the federal ESIGN Act and the Uniform Electronic Transactions Act as adopted in the applicable state. Each signed document is filed into the loan file together with an audit certificate recording who signed, when, and from what address.
The Customer chooses what it sends for signature and to whom, and is responsible for the content of those documents and for whether an electronic signature is legally sufficient for that document in that jurisdiction. We are not a party to anything signed through the Service.
9. Communications sent through the Service
The Service sends email and in-app messages on the Customer’s behalf: invitations, document requests, payment reminders, confirmations and the notifications the Customer configures. Where the Customer has connected its own sending domain, that mail goes out from the Customer’s domain.
The Customer is responsible for the content of what it sends and for having the right to contact the recipients. We may suppress an address that bounces or complains, and may throttle or stop sending that is abusive or that damages deliverability for other customers.
10. Confidentiality
Each of us may learn non-public information about the other: Customer Data on our side, non-public product and security information on yours. Each of us will use the other’s confidential information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to people and contractors who need it and are under comparable obligations. This does not cover information that is public through no fault of the recipient, independently developed, or lawfully received from someone else, and either of us may disclose where the law requires it, giving the other prompt notice where that is allowed.
11. Intellectual property
We own the Service — the software, the design, the documentation — and you get only the right to use it under these Terms. You own your Customer Data. If you send us feedback or a suggestion, we may use it to improve the Service without owing you anything for it and without it becoming confidential. Neither of us gets rights in the other’s trademarks beyond what these Terms need.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL SATISFY YOUR REGULATORY OBLIGATIONS. EVERY CALCULATION THE SERVICE PRODUCES IS A TOOL FOR YOUR OWN REVIEW, NOT A DETERMINATION. SERVICES PROVIDED BY THIRD PARTIES THROUGH THE SERVICE — CREDIT VENDORS, EMAIL DELIVERY, PAYMENT PROCESSING — ARE GOVERNED BY THOSE PROVIDERS’ OWN TERMS, AND WE DO NOT WARRANT THEM.
13. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (a) neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and (b) each party’s total liability arising out of or relating to the Service is capped at the fees you paid us for the Service in the 12 months before the event that gave rise to the claim.
These limits do not apply to your obligation to pay fees, to either party’s breach of §10 (Confidentiality), to either party’s indemnity obligations under §14, or to any liability that cannot be limited by law.
14. Indemnification
You will defend and indemnify us against third-party claims arising out of your Customer Data, your lending activities, or your use of the Service in breach of these Terms. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual-property rights. Each of us will give the other prompt notice of a claim, reasonable cooperation, and control of the defence, and neither will settle in a way that admits the other’s liability without consent.
15. Term, suspension and termination
- These Terms apply for as long as you use the Service.
- A Customer may cancel its subscription, or ask for its workspace to be deleted, at any time from Settings.
- We may suspend or terminate an account that materially breaches these Terms, that creates a security or legal risk, or that remains unpaid after notice.
- What happens to the data afterwards is §4: the read-only window, export throughout it, then a scheduled deletion that subscribing cancels.
- Sections 6, 10, 11, 12, 13, 14 and 17 survive the end of these Terms.
16. Changes to these Terms
Every version of these Terms has a version number and an effective date, both shown at the top of this page. The current version is 2026-09-06.
- A material change — one that changes what you are agreeing to — must be accepted again. The next time you sign in after it takes effect, the Service asks you to accept the new version before you go anywhere else, and records that you did.
- A non-material change — a correction, a clarification — is posted here as a new version with its own effective date, and nobody is asked to click anything. Continuing to use the Service after that date is acceptance of it.
17. Governing law
These Terms are governed by the laws of the state in which we are organized, without regard to its conflict-of-law rules.
18. Miscellaneous
These Terms, together with the Privacy Policyand any order form, are the entire agreement about the Service and replace anything discussed before them. If any provision is unenforceable, the rest stay in effect. Neither of us may assign these Terms without the other’s consent, except to a successor in a merger or a sale of substantially all assets. Neither of us is liable for a delay caused by something outside its reasonable control. A right not exercised is not a right waived. There are no third-party beneficiaries.
